How to register your company

The easiest way to register is online via the Companies House website. It costs £100, and can be paid by debit or credit card during the set up process.

1. Confirm that setting up a limited company is right for you. This can depend on the type of work you do as most businesses register as a limited company or a sole trader.

2. Choose your limited company type. You can either be limited by shares or limited by guarantee. The type you choose will be based on your ownership structure and whether you intend to make a profit. For example, non-profits or registered charities are usually limited by guarantee.

3. Appoint a director and a company secretary.

4. If you're limited by shares, decide who your shareholders are. You need at least one shareholder, and they can be a director. If you're limited by guarantee, decide who your guarantors are. You need at least one guarantor, and they can be a director.

5. Identify people with significant control (PSC) over your company. This could be anyone with voting rights, for example.

6. Choose a name. You'll need to make sure the name you want follows the rules for company names, is available for use and doesn't infringe any existing trade marks.

9. Complete your registration with an official address. At this stage you will also choose a SIC code to identify what your company does.

Once you've completed your registration, you'll get a certificate of incorporation which confirms the company legally exists. It will show your company registration number and date of formation. This usually takes 24 hours if your submission is completed between Monday-Thursday. Applications are not processed on weekends or bank holidays, so Friday submissions may not be finalised until the following Monday.
